Airbus Signs Definitive Agreement with Spirit AeroSystems to Acquire Select Industrial Assets

Airbus has today announced the signing of a definitive agreement with Spirit AeroSystems to acquire industrial assets dedicated to their commercial aircraft programs. Airbus will take ownership of facilities that produce fuselage sections, wings and other components.

On Monday (April 28, 2025), Airbus announced the signing of a definitive agreement with Spirit AeroSystems for the acquisition of select industrial assets dedicated to their commercial aircraft programs. Airbus will take ownership of a number of facilities worldwide, including sites in Kinston, North Carolina and Nazaire, France that produce A350 fuselage sections, the site in Casablanca, Morocco that produces A220 and A321 components and the facility in Wichita, Kansas that produces A220 pylons. Airbus will also acquire the facility in Belfast that produces A220 wings, as well as the Belfast site that produces A220 mid-fuselage sections in Belfast (unless Spirit AeroSystems identifies a suitable buyer for the site where these activities are located). Additionally, Airbus will acquire the production of wing components for the A320 and A350 in Prestwick, Scotland. Spirit AeroSystems intends to sell the site in Subang, Malaysia to a third-party owner.
In line with the provisions of the binding term sheet agreement announced on July 1st, 2024, the compensation amount has been adjusted to reflect the revised transaction scope. Airbus will be compensated by payment of $439 million from Spirit AeroSystems, subject to adjustments at closing. The conditions of the financial impact of this agreement are in line with the Adjusted EBIT and Free Cash Flow before Customer Financing estimates included in Airbus’ 2025 guidance, as issued on February 20, 2025. Under this transaction, Airbus aims to ensure the stability of supply for their commercial aircraft programs through a more sustainable way forward, both operationally and financially, for key Airbus work packages.
The planned closing of this transactions and scheduled transfer of operations is expected in the third quarter of 2025, subject to regulatory and other customary approvals. Airbus has also entered into a memorandum of agreement with Spirit AeroSystems to provide non-interest bearing lines of credit totaling $200 million, among other things, which will be used by Spirit AeroSystems to support Airbus programs.
